Terms of Service

1. Agreement to Terms
By accessing or using the services provided by Whitefish LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services
Whitefish LLC provides software development, web development, and digital consulting services. The specific scope, deliverables, timelines, and fees for any project will be outlined in a separate written agreement or statement of work between the Company and the client.
3. Intellectual Property
Unless otherwise specified in a separate agreement, upon full payment for services rendered, the client shall own all intellectual property rights to the custom software, code, and deliverables created specifically for them. Whitefish LLC retains the right to use general knowledge, techniques, and non-proprietary components developed during the engagement.
4. Payment Terms
Payment terms, including amounts, schedules, and methods, will be specified in the applicable statement of work or project agreement. Unless otherwise agreed, invoices are due within 30 days of issuance. Late payments may be subject to a service charge of 1.5% per month on the outstanding balance.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of any agreement between the parties.
6. Limitation of Liability
To the maximum extent permitted by law, Whitefish LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services. Our total liability for any claim shall not exceed the total amount paid by the client for the specific services giving rise to the claim.
7. Warranties
Whitefish LLC warrants that all services will be performed in a professional and workmanlike manner. Except as expressly stated herein, all services are provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.
8. Termination
Either party may terminate a project agreement with 30 days' written notice. Upon termination, the client shall pay for all services rendered and expenses incurred up to the date of termination. Any completed deliverables paid for in full shall be transferred to the client.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Natrona County, Wyoming.
10. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this website. Your continued use of our services after any changes constitutes acceptance of the updated terms.
